1. Acceptance of Terms

By accessing or using Lightfall ("the Service"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Service. We reserve the right to update these terms at any time, and your continued use constitutes acceptance of any changes.

2. Description of Service

Lightfall is an AI-powered platform that generates user-generated-content-style (UGC) videos. The Service allows you to provide text prompts, model descriptions, and optional product videos, which are processed through AI models to produce short-form video content suitable for social media platforms including TikTok, Instagram Reels, and YouTube Shorts.

3. Account Registration

You may need to create an account to use certain features of the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to provide accurate and complete information and to notify us immediately of any unauthorized use.

4. User Content and Uploads

You retain ownership of all content you upload to the Service, including product images, product videos, text prompts, and script ideas ("User Content"). By uploading User Content, you grant Lightfall a non-exclusive, worldwide, royalty-free license to use, process, and store your content solely for the purpose of providing and improving the Service.

You represent and warrant that:

  • You own or have the necessary rights to all content you upload.
  • Your content does not infringe on any third party's intellectual property or other rights.
  • Your content does not contain illegal, harmful, or objectionable material.

5. AI-Generated Content

Videos, images, and audio generated by the Service ("Generated Content") are created using AI models. You receive a license to use Generated Content for personal and commercial purposes, subject to these terms.

You acknowledge that:

  • Generated Content is produced by AI and may not always be accurate, appropriate, or free from defects.
  • AI-generated individuals depicted in videos are synthetic and do not represent real people. You must not represent Generated Content as featuring real individuals.
  • We do not guarantee that Generated Content will be unique or that similar content has not been generated for other users.
  • You are solely responsible for reviewing Generated Content before publishing or distributing it.
  • Generated Content may be subject to the terms of the underlying AI model providers (fal.ai, xAI, ElevenLabs).

6. Acceptable Use

You agree not to use the Service to:

  • Generate content that is illegal, defamatory, obscene, or promotes violence or hatred.
  • Create deepfakes or misleading content that impersonates real individuals.
  • Produce content that infringes on intellectual property rights, including unauthorized use of trademarks, copyrighted material, or likeness rights.
  • Generate content intended to deceive, defraud, or mislead consumers.
  • Circumvent usage limits, abuse the API, or attempt to reverse-engineer the Service.
  • Use the Service in any way that violates applicable laws or regulations, including advertising standards and FTC disclosure requirements.

We reserve the right to suspend or terminate accounts that violate these guidelines without notice.

7. Third-Party Services

The Service integrates with third-party providers including fal.ai (image and video generation), xAI/Grok (script augmentation), ElevenLabs (text-to-speech), and Pixabay (music). Your use of the Service is also subject to the terms and policies of these providers. We are not responsible for the availability, accuracy, or conduct of third-party services.

8. Intellectual Property

The Service, including its design, code, AI pipeline, branding, and documentation, is owned by Lightfall and protected by intellectual property laws. Nothing in these terms grants you rights to our trademarks, logos, or proprietary technology beyond what is necessary to use the Service as intended.

9. Payment and Billing

Lightfall offers paid subscription plans (Launch, Scale, and Enterprise) with monthly billing. By subscribing, you agree to pay the applicable fees. Subscriptions renew automatically unless cancelled before the renewal date. Prices are subject to change with reasonable notice. Refunds are handled on a case-by-case basis.

Video generation credits are tied to your subscription tier and reset each billing cycle. Unused credits do not roll over.

10. Limitation of Liability

To the maximum extent permitted by law, Lightfall shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service. This includes, but is not limited to, loss of revenue, data, or business opportunities. Our total liability for any claim arising from these terms or the Service shall not exceed the amount you paid to us in the 12 months preceding the claim.

11. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that Generated Content will meet your specific requirements.

12. Termination

You may terminate your account at any time by contacting us. We may suspend or terminate your access to the Service at any time, with or without cause, including for violation of these terms. Upon termination, your right to use the Service ceases immediately. We may retain certain data as required by law or for legitimate business purposes.

13. Governing Law

These Terms of Service are governed by and construed in accordance with the laws of the State of Utah, United States, without regard to its conflict of law provisions. Any disputes arising from these terms shall be resolved in the courts of Utah.

14. Changes to Terms

We reserve the right to modify these Terms of Service at any time. When we make changes, we will update the "Last updated" date at the top of this page. Material changes will be communicated through the Service or via email. Your continued use of the Service after changes take effect constitutes acceptance of the revised terms.
